OFFICIAL RULES


NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. VOID WHERE PROHIBITED BY LAW. AFFIDAVIT OF ELIGIBILITY / RELEASE OF LIABILITY / PRIZE ACCEPTANCE AGREEMENT MAY BE REQUIRED.


1. Promotion Period: The South Beach Comedy Festival Sweepstakes (the "Sweepstakes") begins on or about January 3, 2011, and ends on January 28, 2011; provided, however, mail-in entries must be postmarked by January 28, 2011 and received by February 4, 2011 (the "Promotion Period").


2. How to Enter: There are two (2) ways to enter: (a) Internet entry: log on to www.comedycentral.com (the "Website") during the Promotion Period and follow the entry instructions. The Website will contain a description of the Sweepstakes and the official entry form. Entrant must be sure to complete and submit the entry form with all of the information requested in the Website fields for the entry to be eligible. All Internet entries must be received by January 28, 2011; or (b) Mail-In entry: mail a 3' x 5' card with your full name, complete address, daytime telephone number (including area code), e-mail address, and date of birth (all legibly printed with proper postage) to: Comedy Central's South Beach Comedy Festival Sweepstakes, 345 HUDSON STREET, 7421H, NEW YORK, NY 10014, ATTN: DIGITAL INTEGRATED MARKETING. All mail in entries must be postmarked by January 28, 2011 and received by February 4, 2011. TO PROTECT YOUR PRIVACY, WE RECOMMEND YOU SEND THE 3x5 CARD IN A SEALED ENVELOPE.

Limit one (1) entry per person (regardless of method) will be accepted. Subsequent attempts made by the same individual to submit multiple entries by using multiple or false contact information or otherwise will be disqualified. No automated entries, entries generated by script, computer program, or macro or mechanical reproductions permitted. Illegible, corrupted, damaged, destroyed, forged, false, late, incomplete, misdirected, postage-due, or multiple entries, or entries that have been tampered with or otherwise not in compliance with these "Official Rules", may be disqualified at Sponsor's sole and absolute discretion. All entries and entry information become the property of Comedy Partners d/b/a Comedy Central ("Sponsor") and will not be returned. For purposes of this Sweepstakes, an on-line entry is "received" when the Website's servers record the entry information. Proof of sending (such as an automated computer receipt confirming entry or "thanks for entering" message) does not constitute proof of actual receipt of an entry for purposes of this Sweepstakes. The Website's database clock will be the official time keeper for this Sweepstakes. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of Sponsor may be disqualified.


3. Eligibility: Sweepstakes is open only to legal residents who are physically located in one (1) of the forty-eight (48) continental United States or the District of Columbia, who are at least twenty-one (21) years of age or older at time of entry. Void in Alaska, Hawaii, Puerto Rico, outside the U.S. , and where prohibited by law. Employees of Sponsor, MTV Networks, Viacom International, Inc. , promotional partners, Kia Motors America, Inc. , participating advertisers and retailers (if applicable), and each of their respective parent companies, affiliates, dealerships, subsidiaries, advertising and promotional agencies, and their respective officers, directors, employees, representatives and agents (collectively, the "Sweepstakes Entities"), and the immediate family members (i.e. , spouse, children, parents, legal guardians, in-laws, grandparents, grandchildren and siblings) and/or those living in the same household of such persons (whether legally related or not) at any time during the Promotion Period are not eligible to participate or win.


4. Grand Prize: One (1) "Grand Prize" will be awarded: a trip for the Grand Prize winner and one (1) guest to Miami, FL to attend the 2011 South Beach Comedy Festival. The Grand Prize package consists of the following:

• Tickets for the winner and one (1) guest to the South Beach Comedy Festival events, as determined by Sponsor;

• Two (2) round trip coach air tickets to Miami, FL from a major commercial airport near winner's residence;

• One (1) standard room for three (3) nights for two (2) people in Miami, FL (room and tax only); and

• Five Hundred Dollars ($500.000) in spending money.

All other expenses not specified herein are the winner's sole responsibility. Air carriers, hotels and other transportation will be selected by Sponsor. Approximate retail value ("ARV") of the Grand Prize package: Four Thousand Eight Hundred Dollars ($4,800.00). Actual value of the Grand Prize will be determined by winner's residence (i.e. , point of departure), travel dates and seasonal rates. Travel, accommodations and activities are subject to availability and certain restrictions. Grand Prize winner and guest must travel on the same itinerary and are responsible for any travel insurance (and all other forms of insurance) and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Winner's guest must be twenty-one (21) years of age or older at time of entry with valid travel documents. It is the responsibility of the Grand Prize winner and their companion to provide proper documentation (including government issued picture identification). All travel arrangements must be made through the Sponsor or Sponsor's designee. The Grand Prize winner must travel as and when designated by Sponsor or the Grand Prize may be forfeited and an alternate randomly selected winner chosen. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor reserves the right to structure travel route and select hotels in their sole and absolute discretion. The Grand Prize winner will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. The round trip air transportation element for the Grand Prize begins and ends at the point of departure. The Grand Prize is subject to seat and hotel availability, as well as Sponsor's terms and conditions generally applicable thereto. If in the judgment of Sponsor air travel is not required due to winner's proximity to Grand Prize location, ground transportation will be substituted for roundtrip air travel at Sponsor's sole and absolute discretion. The difference in value will not be awarded to the Grand Prize winner.

The Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any Grand Prize-related services or accommodations. The Sweepstakes Entities are not liable for any missed prize events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor. Additional prize award details and travel information to be provided to the Grand Prize winner at the time of Grand Prize notification. The Grand Prize winner may be required to provide a credit card at the time of hotel check-in. Travel companion must execute liability/publicity releases prior to issuance of travel documents. Once a travel companion is selected, he/she may not be substituted, except in Sponsor's sole and absolute discretion. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by Sponsor's transportation carrier(s) of choice. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged. All expenses not specifically mentioned herein, are not included as part of any Grand Prize package, and are solely the Grand Prize winner's responsibility, including, but not limited to: hotel taxes, ground transportation at the Grand Prize winner's destination(s), travel insurance, room service, bag check fees, parking fees, laundry service, food, alcoholic beverages, merchandise, souvenirs, telephone calls, tips, gratuities and service charges. Transportation carrier and hotel regulations and conditions apply. Travel and lodging are subject to availability, and any changes made to either of these will be at the expense of the Grand Prize winner.


5. Drawing/Odds: One (1) Grand Prize will be awarded in a random drawing conducted on or about February 7, 2011, by Sponsor, from among all eligible entries received. Sponsor will have complete discretion over interpretation of the Official Rules, of administration of the Sweepstakes, and of selection of the Grand Prize winner. Decisions of the Sponsor as to the selection of the Grand Prize winner will be final. The Grand Prize winner will be notified by telephone and/or mail (or email) (at Sponsor's sole discretion), and may be required to sign, have notarized and return an Affidavit of Eligibility, a Liability Release and, where legal, a Publicity Release (collectively, "Affidavit") within five (5) business days or prize will be forfeited and awarded to an alternate winner. Notification is deemed to have occurred immediately upon sending of an e-mail, placing of a phone call, one (1) day after sending via a delivery service or two (2) days after mailing. An alternate winner will be selected if the person initially selected as a winner cannot be reached by Sponsor within a reasonable period of time after the drawing (as determined by Sponsor), if such person's name and address cannot be identified for any reason, or if prize/notification is returned undeliverable. If any potential prize winner fails or refuses to sign and return such Affidavit within the time period required by Sponsor or if the prize or prize notification is returned as rejected, faulty, unclaimed or returned as undeliverable to such potential prize winner, such potential Grand Prize winner may be disqualified and an alternate may be selected. The Sweepstakes Entities are not responsible for false, incorrect, changed, incomplete or illegible contact information. Odds of winning will be determined by the number of eligible entries received.


6. General Conditions: The Sweepstakes Entities are not responsible for electronic, human or computer error or failure, or for lost, late, misdirected, mutilated, incomplete, illegible or postage due entries, or for printing errors in Sweepstakes/advertising materials. By entering and participating, entrants agree to: (a) abide by these Official Rules and by the decisions of the official judges and Sponsor, whose decisions are final and binding on all matters pertaining to this Sweepstakes;; and (b) to indemnify, defend, release, discharge and hold harmless the Sweepstakes Entities from and against any and all injuries, liability, causes of action (however named or described) and damages of any kind arising directly or indirectly out of participation in the Sweepstakes and the acceptance, use, misuse or possession of any prize awarded in this Sweepstakes, including, without limitation, personal injury, death, or damage to or loss of property. Failure to comply with the Official Rules may result in disqualification at Sponsor's sole discretion and selection of an alternate winner. The Grand Prize is non-transferable with no cash redemptions except at Sponsor's sole and absolute discretion. No substitutions or cash equivalents permitted except at Sponsor's option for a prize of comparable or greater monetary value due to prize unavailability, event cancellation or other circumstances beyond the control of Sponsor. Federal, state and local taxes, insurance and other expenses not specified herein are the sole responsibility of the Grand Prize winner, regardless of whether it, in whole or in part, are used. The ARV of the Grand Prize is based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes as required by law. The Grand Prize winner may be required to provide Sponsor with a valid U.S. Social Security number or tax identification number before the prize will be awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of winner for the actual value of the prize(s) received. All prize details not specified in these Official Rules will be determined in Sponsor's sole and absolute discretion. In the event a prize winner (and/or his or her companion (if applicable)) engage in behavior that (as determined by Sponsor or any prize provider in its or their sole and absolute discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early. All prizes are awarded "AS IS" and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Subject to applicable law, Grand Prize winner irrevocably grants the Sweepstakes Entities and each of their licensees, and its and their successors, assigns and sub-licensees the right and permission to record the Grand Prize winner by photographic and audiovisual means and to use his or her name, voice, likeness and/or biographical material for advertising, promotional and/or publicity purposes in connection with the Sweepstakes, in all forms of media and by all manners (now and hereafter known), and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), worldwide, in perpetuity, without any obligation, notice or consideration except for the awarding of the prize to the Grand Prize winner. Entrants agree not to issue any publicity concerning the Sweepstakes Entities.

Entrants further understand and agree that all rights under Section 1542 of the Civil Code of California ("Section 1542") and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR. " The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.


7. Internet: In the event of a dispute regarding the identity of an Internet entrant, such entry will be deemed to be made by the authorized account holder of the e mail address submitted at the time of entry. Authorized account holder is deemed as the natural person who is assigned to an e mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e mail addresses for the domain associated with the submitted e mail address. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor's satisfaction, the affected entry will be deemed ineligible. The Sweepstakes Entities are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant's e-mail account to receive e-mail messages. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion, and without notice, to disqualify any individual who tampers with the entry process, to cancel, modify or suspend the Sweepstakes, and to award the prizes in random drawings from among the eligible entries received up to the time of the impairment. The Sweepstakes Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. Any attempt to damage the Website or undermine the legitimate operation of the Sweepstakes is unlawful and subject to legal action by Sponsor or its agents. Sponsor reserves the right, at its sole and absolute discretion, to disqualify (or terminate the prize of) any individual who is found to be, or suspected of, acting in violation of these Official Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person. In the event Sponsor is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence) Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or prize. Sponsor additionally reserves the right, in its sole and absolute discretion: (1) to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor's control corrupt or interfere with the administration, integrity, operation, security or proper play of the Sweepstakes; or (2) to disqualify any entrant found to be, or suspected of: (a) tampering with the entry process or the operation of the Sweepstakes; (b) acting in violation of these Official Rules; or (c) acting in an un-sportsmanlike manner.


8. Governing Law/Limitation of Liability: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Sweepstakes Entities in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS' REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.


9. Please indicate whether you are requesting a copy of the Official Rules or the winners list. Vermont residents may omit return postage with Official Rules requests.

11. Miscellaneous: The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on the Website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor's sole and absolute discretion.

Prize Period 3: One (1) prize will be awarded in connection with Prize Period 3 as follows: A Comedy Central merchandise fun pack which may include a combination of all or at least one of the following: Comedy Central CD; Comedy Central DVD; Comedy Central clothing/apparel. ARV: $60.00

Prize Period 4: Seven (7) prizes will be awarded in connection with Prize Period 4 as follows: Each Prize will consist of a Comedy Central merchandise fun pack which may include a combination of all or at least one of the following: Comedy Central CD; Comedy Central DVD; Comedy Central clothing/apparel. ARV: $60.00 per fun pack.

The Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any Prize-related services or accommodations, if applicable. The Sweepstakes Entities are not liable for any missed prize events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor.


5. Drawing/Odds: Ten (10) Prizes will be awarded in random drawings conducted as follows: on January 13, 2011 for Prize Period 1; on January 20, 2011 for Prize Period 2; on January 27, 2011 for Prize Period 3; and on January 29, 2011 for Prize Period 4, from among all eligible entries received. Sponsor will have complete discretion over interpretation of the Official Rules, of administration of the Sweepstakes, and of selection of the Prize winners. Decisions of the Sponsor as to the selection of the Prize winners will be final. The Prize winners will be notified by telephone and/or mail (or email) (at Sponsor's sole discretion), and may be required to sign, have notarized and return an Affidavit of Eligibility, a Liability Release and, where legal, a Publicity Release (collectively, "Affidavit") within three (3) days or prize will be forfeited and awarded to an alternate winner. Notification is deemed to have occurred immediately upon sending of an e-mail, placing of a phone call, one (1) day after sending via a delivery service or two (2) days after mailing. An alternate winner will be selected if the person initially selected as a winner cannot be reached by Sponsor within a reasonable period of time after the drawing (as determined by Sponsor), if such person's name and address cannot be identified for any reason, or if prize/notification is returned undeliverable. If any potential prize winner fails or refuses to sign and return such Affidavit within the time period required by Sponsor or if the prize or prize notification is returned as rejected, faulty, unclaimed or returned as undeliverable to such potential prize winner, such potential Prize winner may be disqualified and an alternate may be selected. The Sweepstakes Entities are not responsible for false, incorrect, changed, incomplete or illegible contact information. Odds of winning will be determined by the number of eligible entries received.


6. General Conditions: The Sweepstakes Entities are not responsible for electronic, human or computer error or failure, or for lost, late, misdirected, mutilated, incomplete, illegible or postage due entries, or for printing errors in Sweepstakes/advertising materials. By entering and participating, entrants agree to: (a) abide by these Official Rules and by the decisions of the official judges and Sponsor, whose decisions are final and binding on all matters pertaining to this Sweepstakes;; and (b) to indemnify, defend, release, discharge and hold harmless the Sweepstakes Entities from and against any and all injuries, liability, causes of action (however named or described) and damages of any kind arising directly or indirectly out of participation in the Sweepstakes and the acceptance, use, misuse or possession of any prize awarded in this Sweepstakes, including, without limitation, personal injury, death, or damage to or loss of property. Failure to comply with the Official Rules may result in disqualification at Sponsor's sole discretion and selection of an alternate winner. The prizing is non-transferable with no cash redemptions except at Sponsor's sole and absolute discretion. No substitutions or cash equivalents permitted except at Sponsor's option for a prize of comparable or greater monetary value due to prize unavailability, event cancellation or other circumstances beyond the control of Sponsor. Federal, state and local taxes, insurance and other expenses not specified herein are the sole responsibility of the Prize winners, regardless of whether it, in whole or in part, are used. The ARV of the Prizes are based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes as required by law. The Prize winners may be required to provide Sponsor with a valid U.S. Social Security number or tax identification number before the prize will be awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of winner for the actual value of the prize(s) received. All prize details not specified in these Official Rules will be determined in Sponsor's sole and absolute discretion. In the event a prize winner (and/or his or her companion (if applicable) engage in behavior that (as determined by Sponsor or any prize provider in its or their sole and absolute discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early. All prizes are awarded "AS IS" and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Subject to applicable law, Prize winners irrevocably grant the Sweepstakes Entities and each of their licensees, and its and their successors, assigns and sub-licensees the right and permission to record the Prize winners by photographic and audiovisual means and to use his or her name, voice, likeness and/or biographical material for advertising, promotional and/or publicity purposes in connection with the Sweepstakes, in all forms of media and by all manners (now and hereafter known), and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), worldwide, in perpetuity, without any obligation, notice or consideration except for the awarding of the prize to the Prize winners. Entrants agree not to issue any publicity concerning the Sweepstakes Entities.

Entrants further understand and agree that all rights under Section 1542 of the Civil Code of California ("Section 1542") and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR. " The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.


7. Internet: In the event of a dispute regarding the identity of an Internet entrant, such entry will be deemed to be made by the authorized account holder of the e mail address submitted at the time of entry. Authorized account holder is deemed as the natural person who is assigned to an e mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e mail addresses for the domain associated with the submitted e mail address. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor's satisfaction, the affected entry will be deemed ineligible. The Sweepstakes Entities are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant's e-mail account to receive e-mail messages. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion, and without notice, to disqualify any individual who tampers with the entry process, to cancel, modify or suspend the Sweepstakes, and to award the prizes in random drawings from among the eligible entries received up to the time of the impairment. The Sweepstakes Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. Any attempt to damage the Website or undermine the legitimate operation of the Sweepstakes is unlawful and subject to legal action by Sponsor or its agents. Sponsor reserves the right, at its sole and absolute discretion, to disqualify (or terminate the prize of) any individual who is found to be, or suspected of, acting in violation of these Official Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person. In the event Sponsor is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence) Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or prize. Sponsor additionally reserves the right, in its sole and absolute discretion: (1) to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor's control corrupt or interfere with the administration, integrity, operation, security or proper play of the Sweepstakes; or (2) to disqualify any entrant found to be, or suspected of: (a) tampering with the entry process or the operation of the Sweepstakes; (b) acting in violation of these Official Rules; or (c) acting in an un-sportsmanlike manner.


8. Governing Law/Limitation of Liability: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Sweepstakes Entities in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS' REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

Please indicate whether you are requesting a copy of the Official Rules or the winners list. Vermont residents may omit return postage with Official Rules requests.

11. Miscellaneous: The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on the Website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor's sole and absolute discretion.
